  6. New user account provisioning (includes provisioning of new desktops, laptops and handsets for new users).
  7. Third-party coordination with all existing IT-related vendors
  8. Desktop operating system configuration management and troubleshooting
  9. Troubleshooting and reconfiguration of supported applications
  10. Troubleshooting and reconfiguration of supported connected hardware and peripherals
  11. Operating system patching
  12. Supported applications patching, updates, and minor revision upgrades
  13. Desktop reporting (hardware and software inventory reports)

Confidentiality Assertion

  1. Paranet will act, in accordance with the HIPAA, as a Business Associate
  2. All subcontractors of Paranet will also agree to all Business Associate requirements
  3. Paranet shall only request, use and disclose the minimum amount of PHI necessary to accomplish the purpose of the request, use or disclosure
  4. Paranet will use reasonable and appropriate safeguards to prevent the use or disclosure of PHI other than as otherwise permitted

Professional Services

Services

  1. All work is considered WORK FOR HIRE, meaning all intellectual property developed during the completion of the project is owned by the customer who is paying for the services
  2. Paranet will use skilled and experienced craftsman to complete the work
  3. Payment from the customer for work delivered will be considered acceptance of all deliverables

Security Assurance

Contractual Items

Insurance

  1. Paranet agrees that it will maintain and be solely responsible for ensuring that its agents (including contractors and subcontractors) maintain insurance coverage at levels no less than:
    1. Commercial general liability insurance in the amount of not less than one million dollars ($1,000,000.00) per occurrence for bodily injury and property damage and one million dollars ($1,000,000.00) general aggregate
    2. Worker’s compensation insurance with benefits afforded under the laws of the state in which the Services are provided and employer’s liability insurance with minimum limits of one hundred thousand dollars ($100,000.00) for bodily injury – each accident, five hundred thousand dollars ($500,000.00) for bodily injury by disease – policy limits, and one hundred thousand dollars ($100,000.00) for bodily injury or disease – each employee
  2. Guarantee that its insurance company will achieve at least A- on the A.M. scale

Warranties

  1. Services performed under any STATEMENT OF WORK will be performed in a competent and professional manner by persons with appropriate skill and experience in accordance with applicable professional and industry standards
  2. 60% or more of all STATEMENT OF WORK functions and tasks described in all STATEMENT OF WORKs will be completed by Paranet-trained engineers

Right to Terminate

  1. Managed Services and Managed Security Services STATEMENT OF WORKS are on three (3) year terms
  2. Managed Services and Managed Security Services STATEMENT OF WORKS will automatically renew for continuous three (3) year terms
  3. Notice of termination may be given for any reason with a sixty (60) day notice.
  4. Managed Services and Managed Security Services STATEMENT OF WORKS do not include off boarding time and efforts. All off boarding time and efforts are billed as additional services
  5. Third party contracts may be in place. Every effort will be made to transition all third party services however if transitioning the third party contracts unsuccessful, the Customer will be billed for the remaining balance of non-transitioned third party contracts upon termination.
  6. All open invoices must be paid, including all off-boarding fees, before passwords and final access will be granted.

Non-Disclosure

  1. Paranet will keep all confidential data provided by customers secure and we will only disclose to necessary to complete our STATEMENT OF WORK
  2. Examples of confidential information:
    1. Printed, written, graphic, photographic, or other tangible form marked as “Confidential,” “Proprietary,” “Private,” “Restricted,” or “Trade Secret”
    2. Information given in oral or demonstrative form recorded as written minutes or notes, of such presentations, which minutes or notes
    3. Unreleased products including marketing plans or sales strategies
    4. Budgets and finances
  3. All confidential information will be either returned or destroyed upon termination of all contracts

Mutual Non-Compete

  1. For a period of one (1) year following the termination of all Agreements, Paranet will not, directly or indirectly, through another person, firm, association, corporation, or other entity with which it is now or may hereafter become associated:
    1. request, advise, induce, or attempt to induce any customer, supplier, licensee, or other business relation (each, a “Third Party Customer”) of the customer to withdraw, curtail, cancel, or otherwise cease the relationship with the customer
    2. disclose to any other person, firm, corporation, or other entity the name or address of the customer unless obligated by law

Mutual Non-Solicit

  1. For a period of one (1) year following the termination of all Agreements, Paranet will not, directly or indirectly, through another person, firm, association, corporation, or other entity with which it is now or may hereafter become associated without permission from the other Party, solicit for employment any person who is or was employed by the Party or any of its affiliates at any time within the one (1) year period immediately preceding such solicitation or contract, or in any way willfully interfere with the relationship between the Party and its affiliates and any such person

Notice

  1. Paranet will not send unsolicited emails or pass on email address(es) to others without explicit permission.

Choice

  1. Should anyone wish to opt out from future emails, please notify Paranet via email at sales@paranet.com, or by writing to the address noted below. Paranet aims to respond to each email within one working day, however, please allow for 1-2 weeks for complete removal of your data.
  2. All information provided to Paranet is confidential.

Accountability for Onward Transfer

  1. All Third Parties are contractually obligated to keep your information secure and intact.
  2. Paranet may be required to disclose personal information in response to lawful requests from public authorities, including to meet national security or law enforcement requirements.

Security

  1. Our web site and internal network have security measures in place to protect the loss, misuse, and alteration of the information in our possession.
  2. Only authorized employees and contractually bound partners have access to the information you provide to us.
  3. Personal data is stored for twelve (12) months after the research project is complete, or for as long as is necessitated by the purposes for which it was originally collected.
  4. Paranet does not sell or rent any personally identifiable information to third parties.
  5. In the event of reorganization, merger, or sale, we may transfer any and all personal information to the relevant third party.
  6. Paranet does not collect or have access to any personal financial information (e.g. social security, credit card, bank account).

Data Integrity and Purpose Limitation

  1. Paranet shall only process Personal Information in a way that is compatible with and relevant for the purpose for which it was collected or authorized by the individual.
  2. Paranet shall only collect non-sensitive information in the form of contact information (e.g. name, email address) for the purposes of our research.
  3. Paranet shall take reasonable steps to ensure that Personal Information is accurate, complete, current and reliable for its intended use.

Access

  1. If you wish to access, amend, or confirm that Paranet has personal data relating to you, or if you wish to correct or delete your Personal Information if it is inaccurate, please notify us at sales@Paranet.com. We will respond to your request within a reasonable time.
  2. We encourage you to email sales@paranet.com to address any concerns or questions you may have.

Recourse, Enforcement, and Liability

  1. Paranet utilizes a self-assessment approach to assure compliance with this privacy policy and periodically verifies that the policy is accurate, comprehensive for the information intended to be covered, prominently displayed, completely implemented, and accessible and in conformity with the principles. We encourage interested persons to raise any concerns using the contact information provided and we will investigate and attempt to resolve any complaints and disputes regarding use and disclosure of personal information in accordance with the principles.
